Board Meeting – Elections Process

Attached (click here) you will find the working document for our August 28th, 2019 Board Meeting. We hope that all members will be able to attend; and in the event you are unable, please send us your comments and thoughts which we will then take and discuss at the meeting.

To clarify, this Board Meeting that we are calling is not to rewrite the existing by-laws or other governing documents. Our efforts are focused on providing guideline documentation for the elections procedures. Within this documentation we ensure Washington State HOA Laws along with our governing documents are upheld.

Please note that this is a rough draft and working document, we understand there are some areas that need to be edited, adjusted and may even be contradictory to each other. During the meeting these areas will be addressed and worked through with our community membership. After the meeting, the finalized document will be available for our membership and sent via your preferred official means of communication.

As you may know, the secretary/treasurer board position is up for election this year and we greatly appreciate Rudy Lopez for his time and efforts in making this community a great place to be.

In that, our Board is looking to improve upon our current by-laws as the election process has not been clearly defined and leaves a lot of areas for interpretation. We are holding a special Board Meeting for the sole purpose of creating documentation, standard operating procedures, and guidelines that will be adopted into our governing documents for future elections and Boards to uphold and follow. 

Our Board feels that we should not be the only ones providing insight and feedback for this type of process and procedure and are strongly encouraging our membership to attend if they are interested providing feedback on this process. 

At this time, we have developed a document that has rough outlines of the election process and the rules within in accordance to Washington State Law, and borrowed ideas from other HOA’s by-laws. We’ll be using that document as an outline for our discussion in our meeting and will be distributing it to all attendees. Our meeting will be ran slightly different than a traditional Board Meeting as we want to include comment as much as possible and still complete the meeting timely. For this meeting, as we go through section by section of our document, we’ll be pausing and involving the attendees on any comments for the prior section. 

Once our processes and procedures have been finalized and documented, we hope to proceed swiftly and begin the process September 1st in anticipation for the annual owners meeting in late October where we will hold the final count. Additionally, as this process and procedure will be part of our governing documents, the final version will be distributed to our whole membership via their preferred contact method.

This special Board meeting is scheduled for August 28th, 2019, at 6:00pm at Windermere North-side in the Conference room: 9017 N. Country Homes Blvd, Spokane, WA 99218.

Unfortunately, our normal areas for meeting have been booked and Shawn Ellis, our Vice President has received approval from his employer to utilize the large conference room at his work. Thank you Shawn!
